CLIENT PROFILE
Our client is a Bangalore-based consultancy firm guided by the expertise of Ravi Ananth. Role and Responsibilities
- Vetting/drafting of various contracts and documents, such as Master Service Agreements, Subscription and License Agreements, Consultancy Agreements, Vendor Agreements, Rate Contracts, NDAs, MoUs, etc.
- Vetting/drafting of various internal documentation and policies such as POSH policy, leave policy, refund & replacement policy, data retention & protection policy, website terms of use, privacy policy, etc.
- Managing the entire contract lifecycle; this includes drafting/reviewing, negotiation,
assistance in finalization, execution, and coordination with relevant stakeholders. - Managing all stages of the investment process, including advising on instruments for investment, legal due diligence, transaction documentation, negotiations, execution, and negotiations with relevant stakeholders.
- Providing legal assistance and support to the Insolvency Professional for the efficient conduct of CIRP and Liquidation processes.
- Assistance in drafting appeals, petitions, applications, replies, rejoinders, reports, memos, etc. concerning Insolvency and Corporate law matters.
Qualifications:
- LLB with/without CS.
- 3 - 4+ years.
Skills:
- Excellent legal knowledge of contract and commercial laws, particularly SaaS products and solutions.
- Knowledge of M&A and investment-related transactions - such as Term Sheets, Share Subscription Agreements, Shareholders Agreements, and Share Purchase Agreements.
- Experience/exposure to commercial litigation and company law matters before NCLT / NCLAT would be an added advantage.
- Strong communication skills with the ability to independently interact with the stakeholders to understand the requirements and provide legal assistance in closing the transactions.
- Must have strong negotiation, drafting, communication & presentation skills.
